Submit an investor profile

Provide preliminary information regarding:

  • Investor or organisation name;
  • Country and jurisdiction;
  • Investor classification;
  • Indicative investment-capacity range;
  • Sector interests;
  • Preferred investment pathway; and
  • Expected investment horizon.

Sensitive identity and financial documents should not be submitted through the public enquiry form

Investor classification

NCDF reviews the prospective investor’s classification, jurisdiction, proposed investment capacity and potential eligibility for the selected opportunity.

Investor briefing

Eligible participants may be invited to an introductory, qualified private-investor, institutional, pension, opportunity-specific or technical briefing.

Opportunity matching

The investor is directed only to opportunities appropriate to their classification, jurisdiction, mandate, investment size and stated objective.

Confidentiality and compliance

Before restricted information is shared, the investor may be required to:

  • Execute a confidentiality agreement;
  • Complete KYC and AML requirements;
  • Verify beneficial ownership;
  • Provide source-of-funds and source-of-wealth information;
  • Complete sanctions and PEP screening; and
  • Satisfy product-specific declarations.

Controlled data-room access

Approved investors receive access only to documents relevant to the selected opportunity.

Document permissions may be time-limited, watermarked, role-based and subject to download restrictions.

Independent diligence

Each investor should undertake independent:

  • Legal review;
  • Financial review;
  • Tax review;
  • Commercial review;
  • Regulatory review;
  • Technical review where applicable; and
  • Investment and risk assessment.

Definitive transaction

An investment may proceed only under:

  • Approved definitive documents;
  • Applicable Board and regulatory processes;
  • Verified payment instructions;
  • Completion of conditions precedent; and
  • Formal acceptance, allotment or closing.

Submitting an enquiry, attending a briefing or receiving data-room access does not guarantee eligibility, allocation, allotment or transaction completion.

Opportunity-specific financial information

Every issuer, fund, Platform Company, operating company and project SPV must be supported by its own investor-grade financial and diligence package.

Depending on the opportunity, the controlled package may include:

  • Audited historical financial statements or accounts for the period of operation;
  • Latest interim or management accounts;
  • Cash-flow and working-capital information;
  • Quality-of-earnings review;
  • Pre- and post-transaction capitalisation;
  • Capitalisation table and dilution analysis;
  • Related-party balances;
  • Tax information;
  • Independent valuation;
  • Financial forecasts;
  • Base, downside and upside scenarios;
  • Detailed sources and uses;
  • Pro forma post-investment financial statements;
  • Project financial model;
  • Asset, title, licence, concession or contract information; and
  • Principal financial and operating sensitivities.

Financial information will be released only through the applicable controlled diligence process.

Institutional discipline behind every opportunity

The NCDF capital-formation strategy is based on legal separation, controlled deployment, independent verification and accountable reporting.

Every investment must identify the actual:

  • Issuer;
  • Fund;
  • Platform Company;
  • Operating company;
  • Project SPV;
  • Investment manager;
  • Arranger;
  • Receiving bank;
  • Registrar;
  • Trustee or custodian where applicable; and
  • Governing law

Investment funds must be paid only into the account specified in the definitive transaction documents.

The Gateway will not:

  • Receive investment money into a general NCDF account;
  • Operate a pooled subscription wallet;
  • Display informal bank instructions; or
  • Permit payment before the required eligibility and documentation controls have been completed.

Transactions may involve independent:

  • Issuing houses;
  • Solicitors;
  • Reporting accountants;
  • Auditors;
  • Valuers;
  • Tax advisers;
  • Trustees;
  • Custodians;
  • Registrars;
  • Fund administrators;
  • Receiving banks;
  • Technical advisers; and
  • Environmental and social advisers.

Related-party transactions and NCDF-connected investments must be:

  • Disclosed;
  • Independently assessed;
  • Supported by arm’s-length documentation;
  • Subject to appropriate valuation;
  • Considered without participation by conflicted decision-makers; and
  • Reported to investors where material.

Investment proceeds must be monitored against an approved deployment schedule.

Capital raised by one issuer should not be transferred to another NCDF company merely because the entities are related.

The reporting framework for each opportunity may include:

  • Quarterly financial reports;
  • Annual audited financial statements;
  • Use-of-proceeds reports;
  • Operating updates;
  • Portfolio or project reports;
  • Governance notices;
  • Material-event notices;
  • Capital calls and distributions where applicable; and
  • ESG or impact reporting where relevant.

The Gateway should maintain:

  • Role-based access;
  • Multi-factor authentication;
  • Encryption;
  • Document watermarking;
  • Activity logs;
  • Maker-checker controls;
  • Data-protection governance;
  • Incident management;
  • Business continuity; and
  • Independent security testing.
