NCDF Capital Markets Limited is being positioned as the holding company for a restructured financial-services group. The programme brings together investment management, securities, commercial services and technology infrastructure, with separate responsibilities and approval requirements for each operating business.
Management traces the investment business to NCDF Investment Limited and an SEC licence granted in 2012. A subsequent compliance process included confirmation that submitted documentation was complete. This history belongs to the relevant operating entity; it does not establish current authorisation for every group company or create a consolidated operating history for the new holding structure.
The intended subsidiaries are NCDF Investment Management Plc, NCDF Securities Limited, NCDF Commercial Services Limited and NCDF Technology Infrastructure & Services Limited. Each business will have a defined mandate, capital allocation and reporting responsibility. Regulated activities will be undertaken only by the entity authorised for the relevant service.
The programme combines recapitalisation, governance development, operational systems and expansion planning. Its effectiveness will depend on completed ownership arrangements, applicable approvals, qualified personnel and a sustainable commercial model for each subsidiary.
Investor materials will distinguish legacy financial records, the opening position of the restructured group and forward-looking projections. Subsidiary earnings, intercompany balances and holding-company costs will be shown separately where material. Documentation completion and current regulatory registration are different milestones.
The stated fundraising objective is ₦6 billion for the proposed recapitalisation and expansion programme. The final allocation between entities, instruments and uses will be set out in transaction documents. We welcome strategic investors and institutional partners able to support capital formation, governance and operating capability. Holding-company investment provides rights defined by its securities and agreements, rather than direct ownership of every underlying asset.
Complete and document the legal group structure and entity-specific regulatory position.
Allocate capital to defined subsidiary requirements and operating milestones.
Establish consolidated reporting, related-party controls and board oversight.
No such representation is made. The current registration, permitted activities and conditions of each relevant entity must be established independently.
The briefing will identify the legal entity and accounting period for each set of financial statements, explain any transfers and distinguish historical results from the new structure’s projections.
Request a briefing to discuss the current position, proposed transaction scope and supporting information.
